Terms of Service

Practice Ready, LLC

Last Updated: September 23, 2026

These Terms of Service ("Terms") constitute an agreement between you and Practice Ready, LLC ("Practice Ready," "we," "us," or "our") governing your access to and use of the Practice Ready website and related services (collectively, the "Platform").

Practice Ready is currently a California-only professional networking and recruiting marketplace for the mental health field. The Platform is currently intended and offered only for eligible clinicians, supervisors, students, organizations, and practicum participants operating or participating in California.

Please read these Terms carefully.

THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. PLEASE REVIEW SECTION 22 CAREFULLY.

By creating an account or otherwise affirmatively agreeing to these Terms, you agree to be bound by them.

If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms or that you are otherwise authorized to use the Platform on its behalf.

1. PRACTICE READY

Practice Ready is a California professional networking and recruiting marketplace serving the mental health field.

The Platform currently allows eligible clinicians, supervisors, students and trainees, mental health practices and organizations, practicum sites, and other eligible professional participants operating or participating in California to create accounts and participate in professional networking, recruiting, hiring, practicum, supervision, and training-related activities.

Among other functionality, Practice Ready may allow:

  • Clinicians to create professional profiles without paying Practice Ready for employment access;
  • Students and trainees to create professional profiles;
  • Organizations to search for eligible clinicians or trainees;
  • Organizations to authorize hiring-team members to participate in recruiting;
  • Organizations to contact clinicians;
  • Users to coordinate interview availability;
  • Users to exchange meeting or scheduling links;
  • Clinicians to optionally upload resumes, CVs, cover letters, or other professional documents and choose whether to provide designated documents in response to requests;
  • Professionals to indicate availability to provide supervision or training;
  • Users to provide professional endorsements;
  • Organizations to purchase memberships providing clinician recruiting and profile-access features; and
  • Students and organizations to participate in Practice Ready's practicum functionality without charge.

The Platform is currently offered for California participation and should not be understood as offering a nationwide professional recruiting marketplace.

The availability of individual features may change in accordance with these Terms and applicable law.

2. ELIGIBILITY AND CALIFORNIA SCOPE

You must be at least 18 years old to use Practice Ready.

The Platform is currently intended and offered only for eligible clinicians, supervisors, students, organizations, practicum sites, and other eligible professional participants operating or participating in California.

Practice Ready does not currently represent that the Platform is available as a professional recruiting marketplace throughout the United States or outside California.

You agree to provide accurate information when creating and maintaining your account.

You may not create an account using another person's identity or materially misrepresent your identity, professional status, licensure, education, organization, qualifications, authority, or role.

3. PRACTICE READY IS A PLATFORM AND MARKETPLACE

Practice Ready provides a technology platform and professional marketplace that facilitates professional networking, recruiting, and connections in the California mental health field.

Practice Ready does not itself employ clinicians, students, supervisors, or other professional users merely because they use the Platform.

Unless Practice Ready expressly agrees otherwise in a separate written agreement or applicable law provides otherwise, Practice Ready does not act as:

  • A user's employer or joint employer;
  • A placement agency representing a user;
  • A professional recruiter representing a clinician or organization;
  • A legal representative or agent of a clinician or organization;
  • A credentialing organization;
  • A background-check provider;
  • A professional licensing authority;
  • A clinical supervisor;
  • An educational institution;
  • A healthcare provider; or
  • A party to an employment, independent-contractor, supervision, training, or practicum relationship formed between users through the Platform.

Practice Ready does not make hiring decisions for organizations and does not guarantee employment or placement.

Organizations remain responsible for determining whether a candidate is appropriate for a particular position or opportunity and for conducting any interviews, reference checks, credentialing, license verification beyond any limited verification performed by Practice Ready, background screening, employment-eligibility verification, or other due diligence they consider necessary or that applicable law requires.

Clinicians, students, trainees, supervisors, and other professional users remain responsible for evaluating organizations and opportunities before accepting employment, practicum placement, supervision, training, independent-contractor work, or another professional relationship.

Nothing in these Terms is intended to determine Practice Ready's legal classification under any statute or regulation where that classification is determined by applicable law and the facts and circumstances of Practice Ready's operations.

4. NO GUARANTEE OF EMPLOYMENT OR OTHER OUTCOMES

Practice Ready does not guarantee:

  • Employment;
  • Placement;
  • Interviews;
  • Employer or organization contact;
  • Practicum placement;
  • Candidate availability;
  • Applicant quality;
  • Candidate suitability;
  • Organization or employer suitability;
  • Supervision opportunities;
  • Training opportunities;
  • Responses from another user;
  • Profile views;
  • A particular number of search appearances;
  • A particular search position; or
  • Any other professional, recruiting, hiring, or employment outcome.

Practice Ready does not prepare, write, edit, or distribute resumes or CVs on behalf of users as a placement service. Any resume, CV, cover letter, or similar professional document available through the Platform is supplied by the user unless Practice Ready expressly identifies otherwise.

The existence of a Practice Ready profile or verification status does not constitute an endorsement, recommendation, or guarantee by Practice Ready.

5. VERIFICATION

Practice Ready may require certain users to complete limited verification before their profiles become searchable.

For licensed professionals, Practice Ready may compare a license number, name, and related information with information available from an applicable California licensing authority or other appropriate source.

Students or trainees may be required to submit documentation showing enrollment in an educational or training program.

Practice Ready's verification process is limited.

Unless expressly stated otherwise, Practice Ready does not independently verify:

  • Identity through government-issued identification;
  • Employment history;
  • Criminal history;
  • References;
  • Professional competence;
  • Clinical skill;
  • Training completion;
  • Supervision qualifications;
  • Certifications;
  • Information contained in resumes, CVs, or cover letters;
  • Suitability for employment; or
  • Suitability of an organization.

Users must conduct their own due diligence.

A Practice Ready verification indicator means only that Practice Ready completed the verification process identified for that indicator. It is not a representation regarding information outside the scope of that process.

6. CLINICIAN PROFILE VISIBILITY

Actual clinician profiles are not ordinarily publicly searchable on the open Internet.

Practice Ready may use fictional, demonstration, or illustrative profiles on public portions of the website. Such profiles are intended to demonstrate Platform functionality and do not represent actual individuals seeking employment.

Eligible clinicians may be required to complete verification before their profiles become searchable by organizations.

Clinicians may choose to make their profiles private.

A private profile will not ordinarily appear in candidate searches. Limited information, including a clinician's name, may remain visible where permitted by Platform functionality.

Clinicians may be required to periodically confirm that they remain interested in opportunities in order to continue appearing in searches.

Practice Ready may establish and modify reasonable reattestation requirements. Current requirements may include approximately every 30 days for clinicians and every 30 days for practicum students or trainees.

Failure to reattest may cause a profile to stop appearing in searches without requiring deletion of the underlying account.

7. PROFESSIONAL DOCUMENTS

Uploading a resume, curriculum vitae, cover letter, or other professional document is optional unless Practice Ready expressly identifies a particular document as necessary for a specific verification or Platform function.

A searchable clinician profile does not automatically give organizations access to a clinician's resume, CV, cover letter, or other restricted professional documents.

Where the Platform provides this functionality, organizations and authorized hiring-team members may request documents from clinicians.

The clinician determines whether to provide the requested documents.

Practice Ready does not prepare, write, or edit users' resumes or CVs as part of its current Platform offering.

An organization or authorized hiring-team member receiving or downloading a clinician's information or documents may use them only for legitimate recruiting, interviewing, hiring, practicum-placement, supervision, training, or other professional purposes for which access was provided.

Organizations and hiring-team members may not:

  • Sell clinician information;
  • Rent clinician information;
  • Build an unrelated commercial database from Practice Ready information;
  • Harvest contact information;
  • Use information for unrelated marketing;
  • Redistribute resumes or documents for unrelated purposes;
  • Publish a clinician's nonpublic information without authorization;
  • Scrape or bulk-download clinician information;
  • Use clinician information for personal curiosity or unrelated purposes; or
  • Use clinician information for unlawful purposes.

Practice Ready cannot retrieve or control copies of documents or information after another user has downloaded, copied, or otherwise lawfully received them.

Organizations should securely delete or dispose of clinician information when it is no longer reasonably needed for the purpose for which it was provided, subject to legitimate recordkeeping requirements and applicable law.

8. SEARCH AND RANKING

Organizations may search for clinicians using criteria such as profession, desired role level, location and travel compatibility, specialties, therapy modalities, populations served, clinical and work settings, employment preferences, availability, experience, languages, and other relevant professional characteristics available on the Platform.

Practice Ready may use criteria selected by the organization, together with other legitimate Platform factors, to determine the relevance and ordering of search results.

Search results and rankings are intended to assist organizations in identifying potentially relevant candidates based on the organization's selected criteria and other Platform factors.

A clinician's position in search results does not constitute a recommendation, endorsement, determination of professional competence, or representation by Practice Ready that one clinician is more qualified or suitable than another.

Organizations remain solely responsible for evaluating candidates and determining whether a clinician is appropriate for a particular position or opportunity.

Organizations and authorized hiring-team members must use search criteria and Platform information in compliance with applicable federal, California, and local employment and anti-discrimination laws.

9. ORGANIZATION ACCOUNTS AND HIRING TEAMS

Organizations may grant eligible individuals access to organization recruiting functionality.

Authorized individuals may include:

  • Supervisors;
  • Clinicians involved in hiring;
  • Hiring managers;
  • Administrators;
  • Owners; and
  • Other personnel with a legitimate role in recruiting or hiring.

An individual who also maintains a clinician account may therefore have access to other clinicians' profiles when acting as an authorized member of an organization's hiring team.

Clinician status alone does not grant access to other clinicians' profiles.

Organizations are responsible for determining who is authorized to access recruiting functionality through their organization and for limiting access to individuals with a legitimate business need.

Organizations must promptly remove or modify access when an individual's role changes, the individual is no longer involved in recruiting or hiring, the individual leaves the organization, or access is otherwise no longer appropriate.

Authorized hiring-team members may access and use clinician profiles, documents, contact information, messages, and other information only for legitimate recruiting, interviewing, hiring, practicum-placement, supervision, training, or other authorized professional purposes consistent with the reason access was provided.

Hiring-team access may not be used to browse clinician information for personal purposes, curiosity, competitive intelligence, unrelated solicitation, marketing, or another unauthorized purpose.

Organizations are responsible for activity conducted through their organization account and by individuals to whom they grant access, to the extent permitted by applicable law.

Users may not share individual account credentials as a substitute for properly authorized account access.

Practice Ready may suspend or remove organization or hiring-team access if we reasonably believe access is being misused.

10. MESSAGING AND INTERVIEW SCHEDULING

Eligible organizations and authorized hiring-team members may contact clinicians through the Platform.

Clinicians may receive and respond to permitted communications but do not receive general candidate-search access merely because they maintain clinician accounts.

Users may exchange interview availability and scheduling information through Platform functionality.

Users may also share external meeting, scheduling, or videoconferencing links where permitted.

Practice Ready facilitates these communications but is not a party to interviews or meetings arranged between users through the Platform and does not guarantee the content, conduct, security, attendance, or outcome of those meetings.

Users are responsible for determining whether links supplied by another user are legitimate and safe.

11. ENDORSEMENTS

The Platform may permit eligible users to submit free-text professional endorsements.

Endorsements represent the views of the user who submitted them, not Practice Ready.

Practice Ready does not routinely investigate or verify endorsements and does not guarantee that an endorsement is accurate, complete, appropriate, or reliable.

The recipient of an endorsement may have the ability to hide or decline to display an endorsement.

Users are responsible for the content they submit.

Users may not knowingly submit false, fraudulent, misleading, defamatory, harassing, discriminatory, impersonated, or otherwise unlawful content.

Users must disclose any material connection associated with an endorsement when disclosure is required by applicable law.

Practice Ready may, but is not obligated to, investigate, restrict, hide, remove, or decline to publish content.

The fact that content remains on the Platform does not mean Practice Ready has reviewed, verified, approved, or endorsed it.

12. EMPLOYMENT DISCRIMINATION AND FAIR USE

Practice Ready is intended to facilitate lawful professional recruiting within California.

Users and organizations may not use the Platform to unlawfully discriminate against an applicant, clinician, trainee, employee, contractor, supervisor, trainer, or other person.

Organizations are responsible for ensuring that their searches, screening criteria, communications, interviewing practices, employment requirements, and hiring decisions comply with applicable federal, California, and local employment laws.

Users may not submit or use criteria, content, or communications that unlawfully discriminate on the basis of a legally protected characteristic.

Practice Ready may restrict or remove content, search functionality, accounts, or activity that we reasonably believe violates these Terms or applicable law.

Practice Ready does not undertake a duty to monitor every search, communication, hiring decision, or user action.

13. PROHIBITED CONDUCT

You may not:

  • Use the Platform for unlawful purposes;
  • Misrepresent your identity, credentials, licensure, education, employment, organization, qualifications, authority, or role;
  • Impersonate another person or organization;
  • Create fraudulent accounts;
  • Submit knowingly false or materially misleading information;
  • Upload patient or client information;
  • Upload protected health information or identifiable clinical records;
  • Upload another person's confidential information without authorization;
  • Harass, threaten, stalk, or abuse another user;
  • Engage in unlawful discrimination;
  • Scrape Platform data;
  • Harvest user information;
  • Use bots or automated systems to access the Platform without authorization;
  • Bulk-download profiles or documents;
  • Circumvent access, privacy, payment, or security controls;
  • Access clinician information without a legitimate authorized purpose;
  • Share account credentials with unauthorized persons;
  • Attempt unauthorized access to another account;
  • Introduce malicious software or code;
  • Interfere with Platform security or operation;
  • Reverse engineer the Platform except where applicable law expressly permits it;
  • Use information obtained through Practice Ready for unrelated solicitation or marketing;
  • Sell or redistribute information obtained through Practice Ready;
  • Submit fraudulent or materially misleading endorsements;
  • Violate another person's intellectual-property, privacy, publicity, contractual, or other legal rights; or
  • Use Practice Ready in a manner that creates unreasonable risk to the Platform or other users.

14. MODERATION AND ACCOUNT ENFORCEMENT

Practice Ready reserves the right, but does not assume an obligation, to review or investigate Platform activity.

We may remove content, restrict functionality, hide profiles, suspend accounts, remove hiring-team access, terminate accounts, or take other reasonable action when we believe a user:

  • Violated these Terms;
  • Violated applicable law;
  • Created security or fraud concerns;
  • Misrepresented material information;
  • Misused another user's information;
  • Engaged in abusive or discriminatory conduct;
  • Used hiring-team access for an unauthorized purpose; or
  • Created unreasonable risk to Practice Ready or another person.

Failure to detect or take action concerning one violation does not waive Practice Ready's right to act concerning that or another violation later.

15. ORGANIZATION MEMBERSHIPS AND AUTOMATIC RENEWAL

Clinicians currently participate on Practice Ready without paying Practice Ready for employment access.

Practicum participation is currently offered without charge to participating students and organizations.

Practice Ready currently offers paid organization memberships for clinician recruiting and profile-access functionality.

Monthly Organization Membership

The current monthly organization membership price is $35 per month.

Monthly memberships automatically renew each month until cancelled.

Annual Organization Membership

The current annual organization membership price is $350 per year.

Annual memberships automatically renew each year until cancelled.

Subscription Disclosures and Cancellation

Before a purchaser enrolls in an automatically renewing organization membership, Practice Ready will disclose the applicable material subscription terms, including the price, billing frequency, automatic-renewal nature of the subscription, and cancellation method, as required by applicable law.

By affirmatively purchasing an automatically renewing organization membership, the purchaser authorizes Practice Ready and its payment processor to charge the applicable payment method at the disclosed interval until the subscription is cancelled.

A purchaser may cancel an organization membership at any time to prevent a future renewal.

Unless a refund applies under Section 16 or applicable law provides otherwise, cancellation does not retroactively refund the current billing period, and organization access ordinarily continues through the end of the already-paid membership period.

Practice Ready will provide renewal, reminder, price-change, cancellation, or other subscription notices and mechanisms to the extent required by applicable law.

Nothing in these Terms limits any non-waivable cancellation or subscription right provided by applicable California or federal law.

16. REFUNDS

Practice Ready applies the following refund policy to organization membership payments, including initial purchases and renewal payments.

Monthly Organization Membership Payments

A purchaser may request a full refund of a monthly organization membership payment by contacting Practice Ready within 72 hours after the applicable payment is successfully charged.

This 72-hour refund-request period applies to both the initial monthly membership payment and each subsequent monthly renewal payment.

After the applicable 72-hour period expires, the payment is nonrefundable except where a refund is required by applicable law or Practice Ready expressly elects to provide a refund in its discretion.

Annual Organization Membership Payments

A purchaser may request a full refund of an annual organization membership payment by contacting Practice Ready within 72 hours after the applicable payment is successfully charged.

This 72-hour refund-request period applies to both the initial annual membership payment and each subsequent annual renewal payment.

After the applicable 72-hour period expires, the payment is nonrefundable except where a refund is required by applicable law or Practice Ready expressly elects to provide a refund in its discretion.

Renewal Payments

Renewal payments are subject to the same 72-hour refund-request policy as initial organization membership payments.

A purchaser may request a full refund of a monthly or annual renewal payment by contacting Practice Ready within 72 hours after the renewal payment is successfully charged.

After the applicable 72-hour period expires, the renewal payment is nonrefundable except where a refund is required by applicable law or Practice Ready expressly elects to provide a refund in its discretion.

Cancellation and Refunds Are Separate

Cancelling an organization membership and requesting a refund are separate actions.

Cancelling a membership prevents future renewal but does not, by itself, create or constitute a refund request and does not automatically entitle the purchaser to a refund.

Unless Practice Ready issues a refund or applicable law requires otherwise, cancellation does not end access during an already-paid membership period. Access ordinarily continues through the end of that already-paid membership period.

A purchaser seeking a refund must separately submit a refund request within the applicable 72-hour period described above.

How to Request a Refund

To request a refund, the purchaser must contact Practice Ready at info@practiceready.us within 72 hours after the applicable organization membership payment is successfully charged.

The request should identify the organization account and the payment for which the refund is requested so that Practice Ready can locate and process the request.

If a timely refund request qualifies under this Section, Practice Ready will provide a full refund of the applicable organization membership payment.

After the applicable 72-hour period expires, the payment is nonrefundable except where a refund is required by applicable law or Practice Ready expressly elects to provide a refund in its discretion.

Nothing in this Section limits any non-waivable refund, cancellation, or other right provided by applicable California or federal law.

17. PRICING AND CHANGES TO PLANS

Practice Ready may change organization membership prices prospectively.

For recurring paid memberships, Practice Ready will provide notice and obtain any consent required by applicable law before a price change becomes effective.

Practice Ready may add, modify, limit, or discontinue features associated with free participation, subject to applicable law and commitments already made to users.

A user will not be charged a new recurring fee merely because a previously free service becomes paid. Where affirmative consent to payment is required, Practice Ready will obtain that consent before charging the user.

Clinician participation is currently offered without a Practice Ready fee for employment access.

Practicum participation is currently offered without charge to participating students and organizations.

These current free offerings may be changed prospectively, subject to applicable law, but no user will be charged solely because Practice Ready changes a free offering without any authorization or consent required by law.

18. USER CONTENT AND INTELLECTUAL PROPERTY

Users retain ownership of content they submit to the Platform, subject to the rights granted below.

By submitting content, you grant Practice Ready a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, display, transmit, and otherwise process that content as reasonably necessary to operate, maintain, secure, improve, and provide the Platform and its features.

This license does not give Practice Ready ownership of your resume, CV, cover letter, endorsement, professional information, organization information, or other user content.

You represent that you have the rights necessary to submit content you provide and that our permitted use of that content will not violate another person's rights.

Practice Ready and its licensors retain all rights in the Platform itself, including its software, design, branding, logos, interfaces, databases, functionality, and original content.

19. THIRD-PARTY SERVICES

Practice Ready may integrate with or link to third-party services, including payment processors, scheduling platforms, analytics providers, videoconferencing services, California licensing authority websites, or websites or links supplied by users.

Practice Ready does not control third-party services and is not responsible for their availability, security, privacy practices, content, or performance.

Your use of third-party services may be governed by separate terms and privacy policies.

20. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

PRACTICE READY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

PRACTICE READY DOES NOT GUARANTEE THE IDENTITY, CHARACTER, PROFESSIONAL COMPETENCE, ACCURACY, QUALIFICATIONS, SUITABILITY, CONDUCT, OR REPRESENTATIONS OF ANY USER OR ORGANIZATION.

PRACTICE READY DOES NOT GUARANTEE THE ACCURACY OF USER-SUBMITTED INFORMATION, ENDORSEMENTS, RESUMES, CVS, COVER LETTERS, TRAINING INFORMATION, ORGANIZATION INFORMATION, OR OTHER USER CONTENT.

VERIFICATION OF PARTICULAR INFORMATION DOES NOT CONSTITUTE VERIFICATION OF A USER'S IDENTITY, OVERALL QUALIFICATIONS, COMPETENCE, SUITABILITY, OR CHARACTER.

PRACTICE READY DOES NOT GUARANTEE EMPLOYMENT, PLACEMENT, AN INTERVIEW, EMPLOYER OR ORGANIZATION CONTACT, PROFILE VIEWS, SEARCH POSITION, PRACTICUM PLACEMENT, OR ANY OTHER PROFESSIONAL OUTCOME.

PRACTICE READY DOES NOT PREPARE USERS' RESUMES OR CVS AS AN EMPLOYMENT OR PLACEMENT SERVICE.

PRACTICE READY DOES NOT PROVIDE CLINICAL, MEDICAL, LEGAL, TAX, ACCOUNTING, CREDENTIALING, LICENSING, OR REGULATORY ADVICE.

USERS ARE RESPONSIBLE FOR CONDUCTING THEIR OWN DUE DILIGENCE BEFORE ENTERING INTO AN EMPLOYMENT, PRACTICUM, SUPERVISION, TRAINING, CONTRACTOR, OR OTHER PROFESSIONAL RELATIONSHIP.

NOTHING IN THESE TERMS WAIVES A RIGHT OR REMEDY THAT CANNOT LAWFULLY BE WAIVED.

21. LIMITATION OF LIABILITY AND INDEMNIFICATION

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRACTICE READY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE PLATFORM, INCLUDING LOSS OF EMPLOYMENT OPPORTUNITIES, BUSINESS, REVENUE, PROFITS, DATA, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRACTICE READY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID DIRECTLY TO PRACTICE READY DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

SOME LAWS DO NOT PERMIT CERTAIN DISCLAIMERS OR LIMITATIONS. THESE PROVISIONS APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW AND DO NOT LIMIT RIGHTS OR REMEDIES THAT CANNOT LAWFULLY BE LIMITED OR WAIVED.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Practice Ready, LLC and its owners, officers, employees, contractors, and agents from third-party claims, damages, liabilities, losses, and reasonable costs arising from:

  • Your violation of these Terms;
  • Your unlawful use of the Platform;
  • Content you submit;
  • Your infringement of another person's rights;
  • Your misuse of information obtained through the Platform;
  • Your granting or misuse of organization hiring-team access; or
  • Your employment, hiring, recruiting, supervision, training, or practicum decisions or activities.

Practice Ready will provide reasonable notice of a covered claim and may participate in its defense.

Nothing in this Section requires indemnification to the extent such an obligation is prohibited by applicable law.

22. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED IN COURT AND YOUR RIGHT TO PARTICIPATE IN CERTAIN CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDINGS.

A. Informal Resolution

Before initiating arbitration, either party must provide the other with written notice describing the dispute and the requested relief.

Notice to Practice Ready may be sent to info@practiceready.us with the subject line "Legal Dispute Notice."

The parties will attempt in good faith to resolve the dispute informally for at least 30 days after receipt of the notice.

Nothing in this informal-resolution requirement prevents a party from seeking relief where applicable law does not permit such a requirement or where immediate relief is necessary to preserve a legal right and applicable law permits such relief.

B. Agreement to Individual Arbitration

Except for matters eligible for small claims court, claims excluded elsewhere in this Section, and claims for which predispute arbitration cannot lawfully be required, disputes arising out of or relating to these Terms or the Platform that are not resolved through the informal-resolution process will be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA").

For a dispute subject to the AAA Consumer Arbitration Rules and Mediation Procedures, the arbitration will proceed under those rules then in effect.

For a qualifying business or commercial dispute subject to the AAA Commercial Arbitration Rules and Mediation Procedures, the arbitration will proceed under those rules then in effect.

The classification of a dispute and determination of the applicable AAA rules will be made consistently with the AAA's rules and applicable law.

The parties do not select the AAA Employment/Workplace Arbitration Rules merely because Practice Ready facilitates professional recruiting or because a dispute relates in some manner to employment opportunities available through the Platform. Practice Ready does not represent through these Terms that it is the employer of clinicians, students, supervisors, or other professional users of the marketplace. Nothing in this paragraph prevents application of rules that applicable law or the AAA determines must govern a particular dispute.

The arbitrator may award the substantive individual remedies or relief available to the claimant under applicable law. Nothing in this arbitration agreement eliminates or reduces a substantive remedy that would otherwise be available under applicable law merely because the claim proceeds in arbitration.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement to the extent applicable.

Nothing in this Section requires arbitration of a claim where applicable state or federal law provides a non-waivable right to pursue that claim in a court, administrative agency, or other forum.

C. Arbitration Fees and Costs

AAA administrative fees, arbitrator compensation, and other arbitration fees and costs will be allocated according to the applicable AAA rules and applicable law.

These Terms do not impose additional arbitration costs on an individual user beyond those permitted under the applicable AAA rules and applicable law.

Each party will otherwise bear its own attorneys' fees and other expenses except where the arbitrator or applicable law authorizes or requires a different allocation.

D. Small Claims

Either party may bring an individual claim in a court of competent jurisdiction that qualifies for small claims treatment instead of arbitration.

Nothing in these Terms requires a party to arbitrate an individual dispute that may properly proceed in small claims court and is pursued there in accordance with applicable law.

E. Individual Proceedings

To the extent permitted by applicable law, arbitration will take place on an individual basis.

Neither party agrees through these Terms to arbitrate claims as a class, consolidated, collective, or representative proceeding, except to the extent applicable law provides a non-waivable right otherwise or otherwise requires a different result.

Nothing in this provision eliminates a substantive right or remedy that cannot lawfully be waived.

F. Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@practiceready.us within 30 days after you first accept these Terms.

Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement.

Opting out of arbitration will not affect your ability to use Practice Ready.

G. Remote Proceedings and California Location

Arbitration will ordinarily be conducted remotely unless the parties agree otherwise or the arbitrator, applicable AAA rules, or applicable law requires another arrangement.

If an in-person arbitration hearing is required, it will occur at a reasonably convenient location in California consistent with applicable law and the applicable AAA rules.

Nothing in this subsection is intended to deprive a party of a venue or hearing arrangement required by applicable law or AAA rules.

H. Severability

If any portion of this arbitration provision is determined to be invalid or unenforceable as applied to a particular claim or request for relief, that portion will be severed or limited to the minimum extent permitted by applicable law.

The remaining portions of this Section will remain effective to the extent they can lawfully be enforced.

No severability provision in these Terms requires arbitration of a claim or remedy that applicable law provides a non-waivable right to pursue in another forum.

23. TERMINATION AND INACTIVE ACCOUNTS

You may stop using Practice Ready at any time.

Practice Ready may suspend, restrict, deactivate, hide, or terminate an account as permitted by these Terms and applicable law.

Practice Ready may also deactivate or delete accounts that have remained inactive for an extended period.

Termination does not automatically entitle a user to a refund, except where these Terms or applicable law provide otherwise.

Provisions that by their nature should survive termination, including provisions concerning intellectual property, user information already disclosed, disclaimers, limitations of liability, indemnification, dispute resolution, and accrued payment obligations, will survive to the extent permitted by applicable law.

24. CHANGES TO THESE TERMS

Practice Ready may update these Terms periodically.

If we make a material change, we will provide notice or obtain renewed agreement when required by applicable law.

Changes will not retroactively alter material payment obligations without any notice or consent required by applicable law.

Nothing in this Section permits Practice Ready to eliminate or reduce a non-waivable right through a unilateral amendment.

The "Last Updated" date identifies the most recent revision.

25. GOVERNING LAW

Except where the Federal Arbitration Act applies to the arbitration agreement in Section 22, another federal law controls, or applicable law requires otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Nothing in this governing-law provision waives any right or protection that cannot lawfully be waived under applicable California or federal law.

For disputes that are not subject to arbitration, the parties consent to the jurisdiction of an appropriate state or federal court located in the California county in which Practice Ready maintains its principal place of business, except where applicable law provides a non-waivable right to another venue or forum.

26. GENERAL TERMS

These Terms and any policies expressly incorporated into them constitute the agreement between you and Practice Ready concerning the Platform.

If a provision is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by applicable law.

Practice Ready's failure to enforce a provision does not waive its right to enforce it later.

You may not transfer your account or assign these Terms without Practice Ready's consent.

Practice Ready may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar transaction, subject to applicable law.

Headings are provided for convenience and do not affect interpretation.

Nothing in these Terms waives or limits a right or remedy that cannot lawfully be waived or limited under applicable California or federal law.
